Course Overview
What can be done to increase board effectiveness? The board of directors at a corporation steers the ship on behalf of the shareholders or members. As a result, their primary responsibility is to establish the organization’s strategy, goal, and values while also ensuring that all applicable laws and corporate governance regulations are followed.
The Board of Directors has been entrusted with the duty of ensuring that the business is lucrative and viable since each shareholder has a stake in their individual institutions. Therefore, the role of the board of directors is to continually exercise oversight authority while ensuring the realization of the business strategic objective.
External directors, who are capable of rendering unbiased judgments, and functional directors, who carry out operational activities at the corporation, make up boards of directors. All management teams must have a CEO, CFO, and COO at their top hierarchy.
The senior management team of the organization and the Board are both under the direction of the Board chair. Additional Board positions include secretary, treasurer, and vice-chair or vice-president. Coopting board members to manage certain duties results in the formation of ad hoc committees. The Board of Directors votes on the selection of committee members. Nominees for committee posts are accepted or rejected at the discretion of the members.
Introduction
Nine people make up the typical board. Most boards have three to thirty-one members. Seven is the optimum number. Two significant board committees comprised of impartial members serve the Board. The board chairperson is the leader of the board of directors, whereas the CEO is the senior executive. Boards must meet quarterly to define strategy, examine and monitor financial reports, assess organizational performance, assess CEO performance, and cast votes on significant decisions.
